Use of Funds
Funds raised will accelerate growth across production, product development and route-to-market expansion. Approximately:
- 40% will be invested into brewery capacity, operational upgrades and new direct to consumer venues
- 25% into new product development including our new alcohol free beer brand and RTD drinks
-25% into working capital and scaling retail demand
-10% into marketing, listing fees, export development and digital growth

Share Classes
The company has two share classes, A Ordinary and B Ordinary.
All investors in this round are receiving B Ordinary shares.
Voting: Both A Ordinary and B Ordinary shareholders are entitled to receive notice of, attend, speak, and vote at all general meetings.
Dividends: Each class may receive dividends declared specifically for that class, and both classes participate pro rata (by number of shares held) in any dividends declared on Ordinary Shares generally. The Company may declare different dividends for different classes, including paying a dividend on one class to the exclusion of another (by directors’ determination and shareholder ordinary resolution).
Return of capital / winding up: A Ordinary and B Ordinary shares rank pari passu for any distribution of capital (including on winding up or reduction of capital), in proportion to shares held.
Outstanding Debt
The company has the following debts:
1. A director's loan of £90,000 with 0% interest. This loan will only be repaid once the company is in a position to do so.
2. A hire purchase loan of £19,407.53 with 9.76% interest. The loan matures in July 2026.
3. A loan of £8,243.00 with 17.24% interest. This loan is repaid in monthly instalments of £749.
4. An invoice financing facility with £41,000 outstanding. The interest rates vary.
