Idea

Introduction

Choc Chick is an established, free from and organic raw chocolate brand; ready to take the next step in our evolution. Our product range is stocked in Asda, Holland & Barrett, Whole Foods Market and John Lewis and after a year of global R&D, Choc Chick is launching a new range of vegan and gluten free chocolate products with the aim of increasing our market share in the fast growing healthy snacking and plant based diet market. With preliminary interest from existing retailers along with new multiples (Sainsburys, Morrisons & WH Smiths), we believe our new range is meeting market demand at the right time.

Intended impact

Choc Chick Founder Galia’s love of chocolate led to her discovering raw cacao and realising there was a healthier way of consuming chocolate. As a result, CHOC Chick was born out of the ambition to service these pain points, and help try and change the way that people thought about and consumed chocolate. Her aim has always been to make cacao and raw chocolate accessible, delicious and easily available on the high street.

To our knowledge, our organic raw cacao powder was among the first to be stocked on the high street and in multiples. From the onset, we have tapped into the UK’s fastest growing supermarket categories, Free-From (Worth £531 million in 2016), Organic (worth £2.2 billion in 2017) and now the Vegan and healthy snacking categories (the UK meat free market worth £572m in 2017, with 56% of consumers adopting vegan buying behaviour in 2017 while the value of the healthy snacking category reached £3.54 billion in 2016).

Substantial accomplishments to date

We have been innovating since 2009, our raw chocolate making kits and organic raw cacao ingredients were to our knowledge, among the first to be stocked with major retailers and distributors across the UK and have been winning awards since 2014.
2010 – Launched the CHOC Chick Starter Kits with John Lewis Food Halls, also stocked in Whole Foods Market UK.
2010 – Listing with Tree of Life – one of the largest UK distributors for organic and health foods.
2011- Launch of Choc Chicos dairy free chocolate making kit for kids at Whole Foods Market UK.
2011 – Galia and her father first visit Ecuador and begin the direct link and relationship with our cocoa farmers and suppliers.
2012 – Choc Chick Starter Kits were stocked at Whole Foods Market USA – 35 stores North Atlantic region.
2013 – Choc Chick organic raw cacao powder and organic cacao butter launched and stocked 400+ independent retailers through our distributors Tree of Life and Infinity Foods Wholesale.

Monetisation strategy

Choc Chick's main revenue stream is through B2B sales of our organic raw cacao powder, organic cacao butter, blended cacao for hot chocolate drinks and our newly launched vegan chocolate snack range at high street retail multiples and independent retailers. Our products can be found in Holland and Barrett in 400 stores throughout the UK and 200 stores in Europe (Benelux and Sweden). We are also listed with three of the UK's largest healthy and organic foods distributor Tree of Life, Infinity Foods and CLF, who sell and distribute our range into Whole Foods Market, Asda and hundreds of independent retailers across the UK.

We also sell all our products direct to consumers online with a significant increase in sales through Amazon, chocchick.com and vegan online supermarkets such as thevegankind.com.

Use of proceeds

Our aim is to use the funds raised to help list our new vegan chocolate snack range and increase the distribution of our newly branded cacao ingredients. It will also ensure that sufficient working capital is available through the next stage of brand evolution. Specifically, marketing spend for retail listings in some of the UK’s largest retailers. We are looking for you to support us, “the serious chocolate heads”, on our journey to realise our ambition becoming the number one vegan and free from healthier chocolate snack brand in the UK.

This campaign for CHOC CHICK has been approved by Seedrs Limited (trading as Republic Europe) ("Republic Europe", "us" or "we"), as of 26 February 2019 as a financial promotion. Republic Europe is authorised and regulated by the Financial Conduct Authority with firm reference number 550317. In approving this campaign, Republic Europe has concluded that the information, taken as a whole, is "fair, clear and not misleading." This means that for factual statements we have reviewed evidence of their accuracy, and that for aspirational statements we believe they are phrased appropriately in light of their speculative nature. You should note that in the case of factual statements, the evidence we review is provided by the business, and we do not audit it, which means that we may not be able to identify forged or altered evidence. You should further note that in the case of aspirational statements, the nature of the type of businesses presented on the Republic Europe platform is such that they are likely to have high ambitions, and we may approve statements that convey those ambitions even where we do not believe, or we do not have a view on whether it is likely, that they will be fully realised. The pre-money valuation and investment sought in the campaign are those set by the business: they are not reviewed or established by us, and the valuation is not an independent view of what the business is worth. Given the nature and type of businesses presented on the Republic Europe platform, it is possible that the business has very little cash remaining prior to receiving this investment, and the investment sought may be necessary for the business's on-going existence.

Valuation (pre-money)

Valuation rounded from £227,600

This is the fully-diluted pre-money valuation of the business (i.e. before the new investment comes in and including issued options and other equity interests). In contrast, the post-money valuation is based on inclusion of the new investment in the value.

It is calculated as the pre-money valuation plus the amount of new investment. e.g. If Company A is ascribed a pre-money valuation of £1,200,000 by prospective investors investing £300,000, its post-money valuation is £1,500,000.

The investee business is responsible for setting its own valuation, it has not been prescribed by Seedrs.

Pitch type

Investing in a regular equity campaign is the simplest and most common way to invest in a startup. You decide which business you want to invest in, and if the campaign hits its funding target then you will become one of their shareholders. As the company becomes more valuable, so do your shares; allowing you the opportunity to share in the future success of the business.

Equity Offered

The equity offered is the percentage of the company’s shares being issued in return for the amount of investment raised.

When the amount raised is less than 100%, the equity offered is based on the target raise. Once the company has raised over 100% it is based on the total raised.

In some scenarios, entrepreneurs may accept additional direct investment after closing their Seedrs campaign. Provided this is within 6 months of the closing and on the same terms, we do not typically offer pre-emption rights on that extra investment (where you have the opportunity to invest again to maintain your percentage shareholding).
