Emma, Camilla, and Anna, the co-founders of Female Invest, have rapidly grown the company from inception to a dynamic team of 35 employees spanning 9 nationalities.
Collectively, they are Sunday Times best-selling authors with 70,000 copies sold in over 60 countries and have garnered recognition from Forbes 30 under 30, the Women Cartier Initiative, and Y Combinator.
Business Model
Female Invest provides subscription-based access to a range of educational content, from basic to advanced investment courses, webinars, market news, podcasts, etc.
Additionally, in 2023, 11.5% of our revenue stemmed from global partnerships with companies on projects including events and content production, diversifying our income sources.
This model underpins a sustainable and scalable financial education strategy, aimed at empowering women in the investment sector.
Use of Funds
This funding will support our expansion into the U.S. market, scale our team and the enhancement of our investing platform.
Non-dividend paying: As a growth-driven company, we reinvest profits to drive expansion. There will be no dividend payouts.
High risk: Investing in the company involves high risks typical of VC investments, including operating at a loss to prioritize growth.
Long-term commitment: This investment is a long-term commitment, given the volatility of VC-backed ventures.

Share Class Disclosure
Below is an overview of the share classes in Female Invest's corporate structure. A full and detailed overview is available to download in the ‘documents’ tab of this campaign. PLEASE READ THE FULL SHARE DISCLOSURE AND ENSURE YOU UNDERSTAND THE TERMS OF THE ROUND.
There are two share classes in issue: Preferred Stock (Series A-1, A-2, A-3, A-4, A-5,A-6 and A-7 Preferred Stock) and Common Stock.
Seedrs investors will receive Series A-1 Preferred Stock.
Within the Preferred Stock there are “Major Investors”, who are any investors investing over $2m in the round. As this campaign is capped at $1m, Seedrs is not considered a Major Investor. Major Investors will receive rights that Seedrs will not. These include: enhanced information rights, pro rata participation in future rounds (also known as Pre-emption rights), first refusal rights, and co-sale rights.
Outstanding Debt
The business has the following debts:
1. A loan of DKK4,210,400* from EIFO, with an interest rate of 5.5%. This is being paid in 11 quarterly installments of DKK 448,500, and one final installment of DKK 449,420,65 at end of 12th quarter. The repayment schedule commenced on 02/04/2024.
A loan of DKK 8,774,450* from EIFO, with an interest rate of 13.3%. This is being paid in 16 quarterly installments of DKK 714,000, beginning 01/04/2025.
None of the funds raised will be used to repay these loans.

Share Price & FX Rate
This investment is part of a larger round of $7-10M which is ongoing.
The share price has been calculated on a fully diluted basis using the current size of the outstanding option pool. There may be additions to the size of the option pool as part of the completion of the round, which would decrease the share price.
This funding round is priced in USD and an FX rate of $1:£0.79 (rounded to 2 d.p) has been used for the purposes of displaying the valuation and share price in this campaign. The final exchange rate to be used will be confirmed as part of the completion process, which means the GBP value of the valuation and share price may increase or decrease.
The company also has convertible debt converting as part of this round. This has been factored into the pre-money valuation, however the interest will only be calculated at the point of conversion, and there will therefore be further dilution as a result of this.
If the size of the option pool changes and/or the FX rate changes then the share price will be updated accordingly for investors on Seedrs.
Secondary Market
The Company has opted out of the Seedrs Secondary Market. This means that Female Invest will not be eligible on the Secondary Market.
Company Structure
The company is made up of three entities:
1. Female Invest Inc.
2. Female Invest Aps.
3. Female Invest Ltd.
Female Invest Inc. is the TopCo, and the company in which investors in this round will be receiving shares. The other two companies are wholly owned by Female Invest Inc.
