Introduction

HOLOS is an award-winning kombucha brand on a mission to help end modern slavery in the UK.

Kombucha is a sparkling, fermented tea, renowned for its health benefits. Our dedication to authentic small-batch brewing, and all natural ingredients have won us four Great Taste Awards. They have also landed us on the shelves of 185 M&S Food stores with potential for more.

Our flagship range of drinks are created for the health conscious consumer, targeting a trend which has grown 29% since March 2020.They can be found in retailers such as Whole Foods, Planet Organic, as well as health stores and restaurants across the country.

Our ‘night’ range of drinks offer a premium non-alcoholic alternative, crafted for the fast-growing consumer demand for low and no alcohol drinks.

SOCIAL IMPACT

HOLOS provide paid work opportunities for survivors of slavery in the UK, supporting their recovery through building confidence and economic inclusion.

Substantial accomplishments to date

- In 2021, we more than doubled our turnover with increased distribution through three new wholesalers (The Health Store, Wholegood, Cotswold Fayre).* Our revenue for the last three months was £60,000.

- We are currently selling in 185 M&S Food stores across the UK with the potential for further distribution.

- Each flavour in our chilled range has won at least one star at the prestigious Great Taste Awards, with our Citra Hops kombucha awarded a coveted 3 stars

- HOLOS has been featured in Stylist, Grazia UK, BBC Good Food magazine, Olive magazine, and Vegan Life magazine among others

- Despite the challenges of lockdown restrictions we provided over 20 paid shifts to survivors of slavery last year

Monetisation strategy

We have a diversified sales strategy that aims to deliver consistent revenue growth accross multiple channels:

1. Direct to multiples (M&S Food)

2. Healthy Wholesale. Currently, we sell through three wholesalers - The Health Store, Wholegood and Cotswold Fayre

3. On-trade (bars, cafes, restaurants etc)

4. Online (through the HOLOS store and newly launched through Amazon)

5. Exports

Our aim is to accelerate growth across each channel by investing into the HOLOS brand, in turn driving visibility, consumer trial and adoption.

Use of proceeds

SALES & MARKETING

Investing in sales and marketing to nurture existing accounts and win new ones.

Funds will also help us to successfully launch and market two new products we have developed for our 'night' range - a key part of our strategy to target the fast-growing no/low sector in the UK.

MANUFACTURING CAPACITY

£60k towards Manufacturing Scale-up (total cost £100k, £40k of which from an EU regional development grant - already secured)

Key Information

Debt

The company has the following outstanding loans:

1. Covid Bounce Back Loan with an outstanding balance of £4,583 and an interest rate of 2.5%. The loan is paid off in monthly instalments of £83 with the final repayment date of 09/2026.

2. Shopify Capital Loan with £2,076 outstanding. The loan is no longer carries the initial 10% interest and is to be repaid via Shopify withholding 14% of sales revenue through their site from the company.

3. £20,000 Director's Loan, which is only to be repaid once the company is profitable, with no interest or repayment date attached.

The funds raised from this investment round will not be used to repay these loans.

Shares Classes

The company currently has three classes of shares:

A ordinary
B ordinary
C ordinary

These shares have identical rights and rank equally.

All investors in this round, including Seedrs investors, will be receiving B ordinary shares.

C shares:

The purpose of the C shares is related to the social purpose of HOLOS (to support survivors of human trafficking through training and employment opportunities). At the outset, the Foundation owned 25% of the business, this has been further diluted by investment into the business and the employee pool.

At present, the C shares are held in trust by the Founders until such a time that the HOLOS Foundation is established (within the next 2 years).

The HOLOS Foundation will exist to further the social purpose goals of HOLOS. It will do this in three ways:

1. The Foundation may be used to help deliver the social purpose in a more efficient way, for example by allowing people to volunteer time in support of the social purpose goals as well as access to grant funding that can support the infrastructure required to undertake placements.

2. Once the business is profitable and paying dividends, the Foundation will receive payments in the same way as other share classes. These will be used to fund work aligned to the social purpose of HOLOS.

3. In the event of a trade sale the Foundation would be capitalised. The funds would then be stewarded to support the social mission of HOLOS over the long term.
