Crowdfunding has opened a new frontier for individual investors. Platforms like
Republic Europe now allow everyday investors to participate in early-stage
companies that were once reserved for venture capitalists and high-net-worth individuals. While this democratisation of access is exciting, it also carries financial risk.

And although these platforms do perform their own internal vetting, it is critical that retail investors conduct their own due diligence before committing capital. Platform due diligence is a starting point, but not a guarantee.

What investors should be asking

Investors entering a crowdfunding round should go beyond the pitch video and marketing materials to examine the actual business fundamentals. Here are some core areas to focus on:

1) Who are the founders?

One of the most predictive indicators of a startup’s success is the quality of its team. It’s worth looking into their experience in the industry, education, and domain expertise.

2) What’s the market opportunity?

Consider the size and competitiveness of the space the founders are targeting. Is this a fast-growing sector? Does the company have clear differentiation from competitors?

3) Are the legal and investment terms clear?

The Republic Europe platform typically provides nominee structures to represent investors and safeguard shareholder rights. As an investor, you should know and understand what you’re buying. Are you investing on a convertible note? Are there pre-emption rights? What’s the valuation cap?Do you understand the liquidity events that could occur? Platforms do provide this information, but it’s on you to read and understand it.

If you’re unsure, Republic provides educational materials on investment structures and terminology, such as the due diligence checklist from Republic.
