About the Campaign

Banks continue to withdraw from lending to commercial real estate borrowers, leaving a £14 trillion industry with limited options (LND are currently targeting the £1.3 trillion UK commercial property market and hope to expand into the wider £14 trillion European commercial property market).* Our platform provides borrowers with flexible bespoke loan solutions funded by global institutional investors, via streamlined processes powered by tech. This campaign will help to accelerate development of our tech and increase our lending capacity, which we believe will enable us to capture more market share.

Market Opportunity

The £14 trillion commercial property sector is one of the biggest markets in finance, yet we believe that the industry is inadequately capitalised, and borrowers have limited funding options.* Burdensome regulations have pushed banks away from the sector, which we believe creates a large market opportunity.

Traction & Key Accomplishments

• We have secured £750m of funding from institutional partners.

• We launched two flexible loan products aimed at small to midcap business borrowers in the UK, with significant market traction averaging £318m of loan applications a month.

• £7.8 billion of loan applications across 464 deal since launch and until end of June. Monthly loan applications up 52% in June to £486m.

• With £103.8m more signed Heads of Terms in the immediate pipeline, we target to exceed £200m of loans deployed for investors in the coming months, at an average interest rate of 9.26%.

Use of Funds

The funding round will help fuel the development of our proprietary technology infrastructure and increase our lending capacity. The funds will allow us to progress with our hiring and training programme, as well as accelerate our investment to further automate and digitise our processes, with the aim of delivering a complete and simplified experience to UK borrowers and global investors.

Key information

Group Structure

Investors in this round are investing into and will become shareholders of LND Global Ltd. This is the holding company for the group, which owns 100% of LND Advisory and LND Insight.

Share Classes

The Company currently has three classes of shares, Class A Shares, Class B Shares and Class C Shares. All investors in this round, including Seedrs investors, will receive Class C Shares.

Holders of Class C Shares will receive voting rights and dividend rights. Holders of the Class A Shares have voting rights but no rights to receive dividends and holders of the Class B Shares have rights to receive dividends but no voting rights.

On a return of capital or liquidation the proceeds shall be distributed as follows:

1. First, holders of the Class A Shares shall receive an amount equal to the nominal value of their shares; and

2. Second, holders of the Class B Shares and the Class C Shares shall receive the amounts remaining pro rata to their holdings as if they constituted the same class of shares.

Valuation (pre-money)

Valuation rounded from £20,000,000

This is the fully-diluted pre-money valuation of the business (i.e. before the new investment comes in and including issued options and other equity interests). In contrast, the post-money valuation is based on inclusion of the new investment in the value.

Equity Offered
