About the Campaign

There is a moment when a child’s behaviour stops making sense – and the adults around them don’t know what to do to help. That moment happens in millions of families and schools, every day.

1 in 10 children think, learn and process the world differently, yet most adults around a neurodivergent child receive little practical guidance.

Oli help was created to fill this gap.

Not as a replacement for care, but as a complement that extends it into daily life.

When adults feel confident and supported, interactions become more consistent, stress decreases and children have better conditions to develop and thrive.

Market Opportunity

We started with ADHD, but this is bigger.

Most children with neurodevelopmental differences such as ADHD, autism, dyslexia, dyscalculia, dyspraxia and language disorders have complex individual needs that rarely fit within a single diagnostic category.

Parents, teachers and caregivers shape a child’s daily environment, but are often left without the tools needed to respond consistently and effectively.

At the same time, existing support systems have structural limitations.

As awareness of neurodiversity continues to grow globally, demand for accessible, personalised and continuous support is accelerating.

This represents a structural gap – and a generational opportunity.

Engagement since launching in Italy in late 2024:

Use of Funds

We are raising capital to accelerate the next phase of growth and scale Oli help internationally – reaching more parents, teachers and caregivers – and making support more accessible within existing systems.

We’re building a new model of evidence-based support for kids with diverse minds, powered by AI.

Funds will be allocated across three key areas:

1. UK expansion
Launch and scale in the UK market, building on early clinical validation and local partnerships

2. Advanced AI personalisation
Further develop our AI companion to deliver more precise, context-aware and adaptive guidance, moving towards fully transdiagnostic support

3. Clinical validation & reimbursement pathway
Advance our clinical programme, including RCT readiness, to support integration into healthcare systems and unlock reimbursement
This will enable us to scale across home, school and healthcare environments.

Outstanding Convertible Instrument

The Company has received an investment by a third party investor (the “Investor”) for an amount of € 90,000, in the form of subscription agreement for future equity, recorded in the Company accounts as a third party contribution for future capital increase. Under the terms of the agreement, the Investor has, inter alia, the right to convert the investment into quotas of the Company representing up to 3% of the Company’s fully diluted corporate capital at any time prior to the maturity date currently set at 10 November 2026 (the “Instrument”).

If the Investor does not exercise such conversion right prior to the maturity date, the Company shall have no obligation to repay the investment or to issue equity.

The Instrument has not been converted yet.

Quota class: Upon conversion of the Instrument, the Investor will be granted specific governance and economic rights, including, among others, a 1x non-participating liquidation preference and anti-dilution protection.
