Ponda has secured £2.7m+ in grants and VC funding, generated 200+ brand enquiries, built a multi-country supply chain and validated BioPuff®’s thermal performance. It has worked with Stella McCartney, Sheep Inc and Ahluwalia, with Berghaus engaged through partnerships and LOIs. Ponda won the H&M Foundation Changemaker Award, earned PETA recognition, featured in Vogue Business and the BBC, and showcased to King Charles III in March 2026.
Use of Funds
Funds will scale up manufacturing (40%), drive go-to-market and eco-corporate merchandise (25%), build a world-leading large-scale demonstrator (20%), and advance R&D (15%). This enables Ponda to move from pilot to commercial scale and unlock larger contracts.

Share Classes
The Company currently has 3 classes of shares: Ordinary Shares, B Ordinary (Non-Voting) Shares and Series Seed Shares.
All investors in this round, including Republic Europe investors, will receive Series Seed Shares.
Holders of Ordinary Shares and Series Seed Shares will have voting rights. Holders of B Ordinary (Non-Voting) Shares shall not be entitled to to vote.
On a liquidation, return of capital or exit, the proceeds will be distributed as follows:
(1) First, Series Seed Shareholders will receive an amount equal to their Preference Amount (£12.54 or £10.03 per share as applicable) plus Arrears, while Ordinary, B Ordinary, and Pro Rata Series Seed Shareholders receive a nominal 0.00001% of that aggregate sum.
(2) Then, the remaining balance of Surplus Assets is distributed 99.99999% to Ordinary, B Ordinary, and Pro Rata Series Seed Shareholders and 0.00001% to Series Seed Shareholders.
If the amount of proceeds to be distributed exceeds the Series Seed Shareholders’ preference, each Series Seed share will be considered a Pro Rata Series Seed share, and the distribution will be made on a pro rata basis to all shareholders.
Anti Dilution Protection
The Series Seed shares have anti-dilution protection calculated on a broad-based weighted average basis (unless otherwise waived by the majority of the Series Seed Shareholders). This means if shares are issued at a price below the price that the shareholders invested at , they will be issued new shares to mitigate the dilution suffered.

Investors in this round are investing into and will become shareholders of SALTYCO LTD, Company number: 12614828. This is the holding company for the group.

The subsidiary carries out research and development activities.
