Key Information

Group Structure and Founder Interests

Investors in this round are investing in and will become shareholders of Reality Games (London) Ltd 08983817 (the ‘Company’). The Company owns 99,49% of the shares in Reality Games Polska spółka z o.o, incorporated in Poland, and intends to buy out the rest of the shares soon.

The founder, Zbigniew Woźnowski, holds his shares in Reality Games (London) Ltd via his wholly-owned UK holding company, Marketing United LTD (08467471).

Marketing United LTD owns 90% of RealityMetaverse sp. z o.o. (0000994793), incorporated in Poland, and 90% of Reality Metaverse OÜ (16413690), incorporated in Estonia. Reality Metaverse OÜ owns 100% of Reality NFT Limited (2110969), incorporated in the British Virgin Islands.

The founder also set up "Agroturystyka Jurajska sp. z o.o." in Poland, to carry on agritourism activities, unrelated to the Reality Games business.

These businesses do not compete with Reality Games (London) Ltd and are not directly aligned with the nature of the Company's business. Zbigniew Woźnowski is mainly engaged in Reality Games (London) Ltd and dedicates 10% of his time to overseeing the other companies within the group structure of Marketing United LTD.

License Agreement

There exists a sole related party licence agreement between the Company and Reality Metaverse OÜ, a subsidiary of the Company's holding company, Marketing United LTD. Under this licence agreement, the Company licenses certain virtual assets from Reality Metaverse OÜ for use in the Company's games. Currently, the assets are only being used in 'Landlord GO'. In consideration for this license, the Company shares with Reality Metaverse OÜ its revenue directly resulting from the use of the virtual assets. The licence of these virtual assets is an additional source of income for the Company, and the virtual assets are not fundamental to the operation of the Company’s games or its intellectual property. The revenue shared by the Company with Reality Metaverse OÜ is minimal.

Outstanding Debt

The Company’s subsidiary (Reality Games Polska spółka z o.o) has the following outstanding loan:

- €386,000.00 from Moneta Inwestycje sp. z o.o at an interest rate of SOFR30DAYAVG + 6%, and currently is about 12%. The loan is to be repaid in September 2025.

The funds raised from this investment round will not be used to repay this loan.

Share Classes

The company currently has three classes of shares: A Ordinary, A Preference, and D Ordinary. All investors in this round, including Seedrs investors, will receive A Ordinary shares with the following rights: (i) rights to participate in dividends; (ii) pro rata voting rights; (iii) rights to participate in surplus assets in the event of liquidation; and (iv) tag-along rights on a change of control. D Ordinary Shares have no voting rights. A Preference Shares have no voting rights and shall not be entitled to any dividend or other distribution of income.

Share price

Due to the low share price of £0.02687, investors can acquire packages of 1,000 shares for £26.87 through the Republic platform.
