Key Information

Share classes:

The Company currently has 3 classes of shares in issue: A1 Ordinary Shares, A2 Ordinary Shares and D Ordinary Shares. All investors in this round, including Republic Europe, will receive D Ordinary Shares.

All share classes have voting rights, dividend rights and rights to participate on a return of capital.

Additional share classes of B Ordinary Shares and C Ordinary Shares are detailed in the articles of association but no shares of these classes have been issued to date.

Anti-dilution rights:

The holders of B, C and D Ordinary Shares have anti-dilution protection to maintain their equity percentage in the Company (being the percentage held by such investor at the time of their investment). This means that if the Company issues more shares in future, the holders of B, C and D Ordinary Shares will be issued additional shares to mitigate the dilution suffered (unless this right is waived by the majority). These provisions apply until the Founders’ equity percentage reaches a specified minimum.

Upon an exit, the holders of B, C and D Ordinary Shares shall first receive their equity percentage of the sale proceeds. However, if the Founders ownership percentage has already reached the minimum level, all proceeds will be distributed proportionally to all shareholders.
