Preemption Rights
Pre-emption rights only apply to shareholders in Sprive holding over 5% of the company’s share capital. On completion of this investment, Republic Europe, as nominee, will hold a number of shares lower than this threshold. As such, you will not have any pre-emption rights in Sprive. This means that your shareholding will be diluted in the event Sprive issues further shares.
Share Classes
The company has two share classes, Ordinary and Preferred shares. Republic Europe investors will receive Ordinary shares.
On a liquidation, return of capital, or exit, the proceeds will be distributed as follows:
1. First, Preferred shareholders will receive an amount equal to the greater to equal to the greater of:
- Their investment amount; and
- The amount they would have received if the Preferred Shares had been converted into Ordinary Shares immediately prior to the distribution.
2. Second, the balance of the proceeds will be distributed to the Ordinary Shareholders pro rata to the number of Ordinary Shares held.
Preferred Shareholders have anti-dilution rights. If the Company issues new shares at a share price that is higher than the share price at which they invested at i.e. £0.59183, Preferred Shareholders are entitled to receive additional shares (calculated using a broad-based weighted average formula) to reduce the impact of that dilution on their investment. Ordinary Shares do not have this protection.
