Introduction

CRAFT BEER & MODERN PUBS.

We're The Baby Goat, a craft beer brand based in Hamburg. Our vision is great beer, served through our own modern pubs, first in Germany, then across Northern Europe.

Beer is deeply-rooted in European culture. In our core market, Germany, craft beer sales have increasing over the past decade and are expected to continue to 2025. Today, 36% of Germans have tried craft, and among regular beer drinkers, the figure is 49 percent. The fastest uptake in craft beer is in the 25-34 age group. That’s a movement we're part of.

Our concept is tapping great, tasty beer in modern pub environments. We plan to open 7 pubs in Germany, and Europe over the next 5 years. Our pubs are, diverse, community-orientated, and, above all, a perfect place to meet with a great beer.

We have more than doubled our beer production since 2020. We aim to double this again in 2022 with the opening of our second Pub, The Baby Goat Barn, and our added focus on the retail and distribution space.

Substantial accomplishments to date

→ July 2018 - Our first beers brewed: Woolly-Headed Weizen & Looking Goat IPA. Our flagship beers.

→ July 2019 - Our beer range expanded to 7, core beers

→ August 2020 - First Pub Opened: The Baby Goat House. The spiritual home of The Baby Goat. Our Pie & Ale pub in the well-known student area of Grindelhof, Seated inside capacity 40, outside 50.

→ May 2021 - First Distribution Contracts. Focussing on selected gastronomy, championing local and craft retailers and gastronomy.

→ July 2021 - Listing with delivery service, Gorillas. The 10-minute home delivery service. We list 3 of our beers in all the Hamburg outlets and we also have a commitment for a listing in Berlin.

→ August 2021 - Our beer range reaches 10 beers: now including 3 seasonal.

→ January 2022 - Wider distribution and the hiring of a Sales Manager. We have set a wider focus on selected Gastronomy in Hamburg and beyond, including in supermarkets. Our IPAs are filled in cans for the first time.

→ February 2022 - Our beer range reaches 12 beers: with further seasonal and specials.

→ May 2022 - Our Second Pub Opening: The Baby Goat Barn. Our craft beer and craft pizza concept is in the heart of the St Pauli district - the 'Kiez'. The Pub is 50m from the world-famous Reeperbahn, where Hamburg's nightlife booms. Seated inside capacity 90, outside 50.

Monetisation strategy

Our concept is centered around the tapping of our own, craft beer in our own branded, modern Pubs. Our mission as a brand is to bring people together through our beer and that is most effectively done by providing a great environment in which our customers drink our beer. It is also, for us as a beer producer, the highest-margin means of selling our beer.

The primary driver behind our Pub concepts remains customers and community. A 'Pub', whilst internationally understood in the form of British or Irish pubs, is not common in Germany. Our interpretation of 'Modern Pubs focuses on delivering great beer, great service, and a wide range of community-engaging events.

Over the next 5 years, we plan on opening at least 1 Pub per year, first in Germany, then in Holland. We are investing in our sales team, supply chain & logistics to grow our distribution, first locally in Hamburg, then Germany-wide.

Use of proceeds

It's important to state that your investment will be in The Baby Goat Beer, our holding company under which our individual pubs will sit. All B2B beer sales (distribution) will also be processed through this company.

This round of funding will be dedicated to the renovation and preparation of The Baby Goat Barn.

Specifically, the funding will cover:

- The beer tapping installation and cooling system.

- Design and building of the bar.

- Restoration of the interior.

- A kick-ass pizza oven and kitchen refurb.

- Stock purchase.

- Marketing resources and activation.

This campaign for The Baby Goat has been approved by Seedrs Limited (trading as Republic Europe) ("Republic Europe", "us" or "we"), as of 29 April 2022 as a financial promotion. Republic Europe is authorised and regulated by the Financial Conduct Authority with firm reference number 550317. In approving this campaign, Republic Europe has concluded that the information, taken as a whole, is "fair, clear and not misleading." This means that for factual statements we have reviewed evidence of their accuracy, and that for aspirational statements we believe they are phrased appropriately in light of their speculative nature. You should note that in the case of factual statements, the evidence we review is provided by the business, and we do not audit it, which means that we may not be able to identify forged or altered evidence. You should further note that in the case of aspirational statements, the nature of the type of businesses presented on the Republic Europe platform is such that they are likely to have high ambitions, and we may approve statements that convey those ambitions even where we do not believe, or we do not have a view on whether it is likely, that they will be fully realised. The pre-money valuation and investment sought in the campaign are those set by the business: they are not reviewed or established by us, and the valuation is not an independent view of what the business is worth. Given the nature and type of businesses presented on the Republic Europe platform, it is possible that the business has very little cash remaining prior to receiving this investment, and the investment sought may be necessary for the business's on-going existence.

Valuation (pre-money)

Valuation rounded from €3,345,000

This is the fully-diluted pre-money valuation of the business (i.e. before the new investment comes in and including issued options and other equity interests). In contrast, the post-money valuation is based on inclusion of the new investment in the value.

It is calculated as the pre-money valuation plus the amount of new investment. e.g. If Company A is ascribed a pre-money valuation of £1,200,000 by prospective investors investing £300,000, its post-money valuation is £1,500,000.

The investee business is responsible for setting its own valuation, it has not been prescribed by Seedrs.

Pitch type

Investing in a regular equity campaign is the simplest and most common way to invest in a startup. You decide which business you want to invest in, and if the campaign hits its funding target then you will become one of their shareholders. As the company becomes more valuable, so do your shares; allowing you the opportunity to share in the future success of the business.

Learn more about pitch type on Seedrs

Equity Offered

The equity offered is the percentage of the company’s shares being issued in return for the amount of investment raised.

When the amount raised is less than 100%, the equity offered is based on the target raise. Once the company has raised over 100% it is based on the total raised.

In some scenarios, entrepreneurs may accept additional direct investment after closing their Seedrs campaign. Provided this is within 6 months of the closing and on the same terms, we do not typically offer pre-emption rights on that extra investment (where you have the opportunity to invest again to maintain your percentage shareholding).

Nominee investment

This shows if you are able to choose, when making an investment, that you be represented by, and your shareholding be managed by, the Nominee investment.

Custodian

If you invest in this Campaign, Seedrs will act as Custodian rather than provide our standard nominee service. This is due to the fact that the business is not directly involved in the share sale and Seedrs will not benefit from any rights under a shareholder agreement. As a result, Seedrs will handle administrative tasks as we do normally, but you will not have information or voting rights, updates from the business, preemption on future fundraising, or ongoing support about business trading activity.

Secondary market

This shows if the business has opted-in or opted-out of allowing its shares to be bought and sold on the secondary market.

Direct investment

This is an option to invest and hold shares 'directly' in the company (rather than via the Nominee investment). This option is only available to those investing over the threshold amount, which is determined by the fundraising company.

If you choose to hold your shares directly, you will be responsible for any contractual or administrative arrangements with the company you are investing in.
