In 2023, we had our best ever sales year. Sales for 2024 to date have performed better than last year as more and more people appreciate our commitment to great beer, great venues and being a force for good in our local communities.

Market Opportunity
People are looking for businesses that they can believe in - we've spent 14 years building our business on strong foundations of great beer and great venues for a greater good.
Since we brought brewing back to the heart of Windsor in 2010, apart from the Covid years (2019-2021), we've grown every year.
We believe that there are so many more opportunities out there. Your support will help us grow even faster by adding another pub and growing our brand too.

Team
We now have two very strong teams - the Board provide governance while the Management Team run the business.
At Board level, along with the 4 founders, we have two very experienced industry experts: Stephen Spencer-Jones and Jayne Gillin as non executive directors for Sales and Retail respectively.
Our Management Team is headed up by Jon Radford who brings a track record of delivering business growth. The Management Team have clear responsibility for delivering the operating plan.

Business Model
There are four ways in which we make money.
• Our Pubs and Bars: Our venues play an increasingly important role in delivering revenue and profit.
• On-Trade: We sell cask and keg beer to free trade and pub companies, and hold a reputation as a fair, reliable and quality partner.
• Off-Trade: We supply a range of canned and botteld beers to supermarkets, convenience stores and off-licences.
• Direct to Consumer: Our on-line and brewery shops sell direct to consumers.
Use of Funds
Your support will help us grow
New Pub £100,000
We are already in discussions for our next large pub where we will aim to bring our fantastic beers to more people.
Sales & Marketing £50,000
We will aim to run our first sustained brand building campaign under the banner of 'Beers with Stories to Tell' to spread the word about our brand.
Brewery Investment £50,000
We will increase the capacity of the brewery to keep up with demand for our keg beers over the summer months and make our brewery even greener.
Key Information
Outstanding debt
The company has the following outstanding debt:
1. £250,000 CBILs loan from Natwest at an interest rate of 2.8% above the bank of England base rate per annum. (Coronavirus Business Interruption Loan). Repayments of the loan are being paid in monthly instalments of c£4.8k per month over 5 years, with £116,590 of the balance remaining. The loan is to be repaid by September 2026.
2. £100,000 CBILs loan from White Oak UK at an interest rate of 7% per annum. (Coronavirus Business Interruption Loan). Repayments of the loan have begun in October 2021, and are being paid in monthly instalments of c£2.7k per month over 4 years with £30,647 remaining. The loan is to be repaid by April 2025.
3. Two director loans:
(a) A loan of £58,000 with an accruing interest rate of 5% plus base rate per annum, with no set deadline for repayment.
(b) A loan of £125,000 which was used to purchase equity in The Swan pub. This loan will be accruing an interest rate of 5% plus base rate per annum from August 2021 (two years since The Swan opened). There is no set date for repayment on this.
4. A £200,000 loan from investors at an interest rate of 12% per annum. The loan is to be repaid by January 2028.
5. A £150,000 loan from Natwest at an interest rate of 2.8% above the bank of England base rate per annum. The loan is to be repaid by April 2026 and has a remaining amount of £57,500.
The funds raised from this investment round will not be used to repay this debt.
Business Interests
The company holds an 100% stake in Webrew Taverns Limited, a legal entity that runs a pub in Eton under a lease with EIGrp. This company does not hold any relevant IP or trademarking that Windsor & Eton Brewing Company Limited relies upon.
Trading benefits from pubs
Windsor & Eton Brewing Limited, the investee company, (‘The Company’), is involved in running 5 pubs in and around Windsor. Please find below the overview of the business interest from each pub.
1. The Swan
- 25% owned by The Company
- 25% is owned by the Green Room School Foundation
- 50% is owned by 120 other investors
- All revenues and operations from this pub go to the Swan Clewer Community Interest Company
- The Company does not receive income from this pub, but will receive dividend payouts once paid from the 25% equity stake The Company holds.
2. The George
- This pub is leased, with 100% of the business benefit going to The Company.
3. The Old Court Bar
- 100% of revenue is received by The Company. The company then pays the Landlord, The Old Court Community Interest Company, a percentage of revenue as rent.
4. Rose & Olive Branch
- Sub-let to tenants to run. Tenants are tied to 50% of taps dedicated to Windsor & Eton Brewery beer sales
5. Brewery Tap
- This is The Company's on site tap room at their brewery. 100% revenue goes to The Company
Please note, some of the arrangements around revenue share in relation to these trading interests have been agreed between parties but are not subject to formal contract arrangements. The directors of the Company see these interests as beneficial to the Company and they do provide a revenue stream, but are not considered a core part of the Company's assets. This is not true for The George.
