Share classes

The Company currently has four classes of shares: Ordinary Class A Shares, Ordinary Class B Shares, Ordinary Class C Shares, and Ordinary Class A Founders Shares.

Investors in this round are receiving a mix of Ordinary class A and B shares. Republic Europe investors will receive Ordinary Class A Shares.

Holders of Ordinary Class A, Ordinary Class C, and Ordinary Class A Founders Shares have full voting rights and full dividend rights. Holders of Ordinary Class B Shares have full dividend rights but no voting rights.

Group Structure

Investors in this round are investing in and will become shareholders of AI Venture Builder LTD, Company number 15371011. This is the holding company for the group.

AI Factory S.r.l. is an Italian subsidiary of AI Venture Builder Ltd, with 52% ownership held by the UK parent company and the remaining 48% held by approximately 100 Italian retail investors.

AI Factory S.r.l. develops bespoke AI software solutions and provides AI consulting services to large Italian corporates and public entities, including organisations in the banking, insurance, and public administration sectors. The company serves as the technical and delivery hub of the group, supporting the development and deployment of AI solutions across Europe.

The subsidiary is managed by a local leadership team in Rome, with strategic and financial oversight provided by AI Venture Builder Ltd. AI Factory S.r.l. is currently in a growth phase, with revenues generated from enterprise and public contracts.

Tax Relief

The company has received Authority to issue Seed Enterprise Investment Scheme (SEIS) certificates for the A shares, the share class being received by the Republic Europe investors.

There is £150,000 of the company’s SEIS allowance remaining. This will be allocated to investors on the campaign on a first-come, first-served basis. Once this SEIS allowance is fully allocated, we expect that subsequent investments in A shares will be eligible for the Enterprise Investment Scheme (EIS).

Valuation (pre-money)
