Notices

Please note that whilst the campaign is labelled as EIS eligible, the company has some SEIS allowance remaining. We will therefore be looking to seek SEIS relief on the first £70,000 invested into the campaign and EIS relief on the balance. Any tax relief is dependent on personal circumstances and may be subject to change in the future.

Introduction

It is well documented that many professional players are suffering from mental health issues, this stems from the pressure and responsibility of professional sport.

Due to the physical nature of the game a typical pro career only lasts 7 years - career ending injuries are a reality.

EPMs initial focus is to get the player a contract, thereafter we assist the player with their off-field game plan, positioning and preparing them for the day they hang-up their boots.

It starts with psychoanalysis determining the players interests outside the game. That information is then analysed and an independent working partner puts a development programme in place. This may include a fast-track process to an MBA degree or entrepreneurial development.

Additionally we bespoke a welfare package for every player, whereby we work with professional partners to help our athletes with will preparation, career ending insurance, tax advice, mortgage advice etc.

Intended impact

EPM's income is derived via placing players at Rugby Clubs (1-3 year contracts). Word of mouth via the professional players to their peers, is our strongest asset. Our key point of difference is our player welfare programme.

Clubs have a core focus and that is to mould a squad of players into a winning team. EPM are able to work alongside the professional player, ensuring that their off-field game plan has been identified, and help them to achieve their goal.

If the player is happy off-field, they become a better player on-field.

Club management recognise that EPM are helping them achieve a balance on and off-field, moulding a player welfare programme alongside their club.

By working alongside us, we believe the professional club can truly benefit their professional players.

Rugby is BIG BUSINESS, and now with your help we are aiming to disrupt Football.

Substantial accomplishments to date

Over the last six months we have been building our internal structure and network, and travelling extensively to ensure that we have the relationships at professional clubs that will allow us to source more professional players.

Industry acceptance is based on players we have signed as a company, and contacts secured.

Marquee Signings:

Rugby League - Nathaniel Peteru

Springboks - Elton Jantjies, Lionel Mapoe

NZ 7s - Beaudein Waaka, Trael Joass

Italy - Johan Meyer, Cherif Traore, Derrick Appiah, Danilo Fischetti

Super Rugby - Craig Barry, Fereti Sa'aga

In total we have negotiated over 40 contracts, examples of these contracts:

Zebre Rugby & Treviso Rugby (Pro14), Lions (Super Rugby), MLR Rugby (USA), Padova & Rovigo (Top 12), Cornish Pirates, Northampton Saints and Yorkshire Carnegie.

Football division network:

Eiji Kawashima - Japan

Shemmy Mayembe - Zambia

Solomon Sakala - Zambia

Coaching staff network:

Roland de Marigny (Former Italy)

Alex Moreno (Former Argentina)

Aiming to set new standards in Player Welfare Management we have appointed working partners with specific skill set Future Smart (University Of Sheffield, Staffordshire University, Northumbria University, University Of Essex), Entrepreneurial Spark, Sedulo Accountants and other working partners.

All EPM players and our shareholders will receive an EPM Black Card. Member partners offer preferential deals, these include Lovell, Global Capital, DB Living, Bespoke Moving Solutions, ESpark Optimum Nutrition.

Monetisation strategy

The player welfare programme is delivered to the player for the right reasons and not for financial reasons.

EPM's business model is simple, we will earn a player placement fee from professional clubs, and earn a commission every year that player remains at that club.

Market size example: Professional Rugby Clubs average 42 squad members. The FrenchTOP 14 salary cap is £10-million per club (14 Clubs) and in England there is a salary cap of £7 million per club (12 Clubs).

English clubs are allowed two marque players outside the salary cap. The Irish Provinces spend around £7 million per year, and the Welsh and Scottish teams around £5-million. We believe the spend decreases down into the lower leagues but it is still significant at Championship level in the UK, ProD2 & Federal 1 rugby in France and beyond.

Football dwarfs that of Rugby. The annual wage for a Premiership Football Player exceeds £50,000 per week, the Championship exceeds £7,500, and in League One there is a weekly wage spend per player of around £2000.

Use of proceeds

EPM aim to complete this round of crowdfunding by Q3 2019 to capitalise on the growth opportunities within the sporting world.

We will use the investment raised to conduct the following :

Implement a strong full-time team to be managed by the executive board members

Scale the business by expanding our footprint, delivering our bespoke solution to the professional player and club.

Continually look to evolve and adapt, to sustain being competitive in the market, whilst delivering our value proposition, which is centred around player welfare.

The growth is not limited to the UK, our focus is on both the UK Markets & Europe. Our management team speak fluent English, French, Italian, and Spanish.

Official accreditation with awarding bodies will add further credibility to the EPM player welfare programme.

EPM plans to conduct an aggressive marketing campaign to rapidly grow our club membership base, aligning working player welfare partnership programmes with the club.

This campaign for Elite Player Management has been approved by Seedrs Limited (trading as Republic Europe) ("Republic Europe", "us" or "we"), as of 5 September 2019 as a financial promotion. Republic Europe is authorised and regulated by the Financial Conduct Authority with firm reference number 550317. In approving this campaign, Republic Europe has concluded that the information, taken as a whole, is "fair, clear and not misleading." This means that for factual statements we have reviewed evidence of their accuracy, and that for aspirational statements we believe they are phrased appropriately in light of their speculative nature. You should note that in the case of factual statements, the evidence we review is provided by the business, and we do not audit it, which means that we may not be able to identify forged or altered evidence. You should further note that in the case of aspirational statements, the nature of the type of businesses presented on the Republic Europe platform is such that they are likely to have high ambitions, and we may approve statements that convey those ambitions even where we do not believe, or we do not have a view on whether it is likely, that they will be fully realised. The pre-money valuation and investment sought in the campaign are those set by the business: they are not reviewed or established by us, and the valuation is not an independent view of what the business is worth. Given the nature and type of businesses presented on the Republic Europe platform, it is possible that the business has very little cash remaining prior to receiving this investment, and the investment sought may be necessary for the business's on-going existence.

Tax Relief (SEIS)

This business is eligible for SEIS relief - providing qualifying investors with income tax relief of 50% of their investment and certain other tax reliefs. Tax treatment depends on individual circumstances and is subject to change in future. Click to learn more.

Tax Relief (EIS)

This business is eligible for EIS relief - providing qualifying investors with income tax relief of 30% of their investment and certain other tax reliefs. Tax treatment depends on individual circumstances and is subject to change in future. Click to learn more.

Valuation (pre-money)

Valuation rounded from £1,200,600

This is the fully-diluted pre-money valuation of the business (i.e. before the new investment comes in and including issued options and other equity interests). In contrast, the post-money valuation is based on inclusion of the new investment in the value.

It is calculated as the pre-money valuation plus the amount of new investment. e.g. If Company A is ascribed a pre-money valuation of £1,200,000 by prospective investors investing £300,000, its post-money valuation is £1,500,000.

The investee business is responsible for setting its own valuation, it has not been prescribed by Republic Europe.

Pitch type

Investing in a regular equity campaign is the simplest and most common way to invest in a startup. You decide which business you want to invest in, and if the campaign hits its funding target then you will become one of their shareholders. As the company becomes more valuable, so do your shares; allowing you the opportunity to share in the future success of the business.

Equity Offered

The equity offered is the percentage of the company’s shares being issued in return for the amount of investment raised.

When the amount raised is less than 100%, the equity offered is based on the target raise. Once the company has raised over 100% it is based on the total raised.

In some scenarios, entrepreneurs may accept additional direct investment after closing their Republic Europe campaign. Provided this is within 6 months of the closing and on the same terms, we do not typically offer pre-emption rights on that extra investment (where you have the opportunity to invest again to maintain your percentage shareholding).
