Share classes

The Company currently has 2 classes of shares, Class A Ordinary Shares and Class B Ordinary Shares.
Republic Europe investors will receive Class A Ordinary Shares.
Holders of Class A Ordinary Shares will receive one vote per share and full rights to dividends and capital distributions. Holders of Class B Ordinary Shares will receive no voting rights, but rank pari passu with Class A shares regarding dividends and rights on winding-up. On a liquidation, return of capital or exit, the proceeds will be distributed pro rata to the number of shares held by each Shareholder irrespective of class.

Supply Chain and Intellectual Property

SSS Ltd, the entity Republic Europe is investing in, currently sources wholesale chemicals from SSS PTA LTD, a South African supplier. While the Company intends to cease this importation and transition to full domestic production within its new UK factory, this operational shift is contingent upon the successful completion of the current fundraising round. The relationship between the two entities is strictly that of buyer and supplier, and SSS Ltd retains 100% ownership of all relevant Intellectual Property.
