Material Debt

The Company has the following outstanding loans:
£69,150.00 Founder loan (the aggregate of loans made between 2020 and 2025) with no interest rate and no repayment date. This loan is to be repaid when the company is in a sufficient cash position to do so or the founder may elect to convert part or all of the amount into B Ordinary shares.
If the loan converts into equity, the conversion price has been pre- set based on when the money was lent, as follows:
£0.25 per share for the 2020 loans
£9.01 per share for the 2023 loan
£12.08 per share for the 2024 and 2025 loans.

£50,000.00 outstanding loan from Iwoca with an interest rate of 3.6% monthly. The loan is to be repaid in monthly installments of £2068, with the final repayment due on 5th June 2031.
The funds raised as part of this round will not be used to repay these loans.

Lead Investment 3 months + old

Please note, £224,668.08 of the raised funds reflected in the campaign were received by the company between November 2025 and February 2026. These investments are a part of the same round and are on the same terms as Republic Europe investors.

Share Class Structure

The Company currently has two classes of shares, Ordinary A and Ordinary B, which carry equal voting and dividend rights. The key distinction between the two is that Ordinary B shares are designated for employees and advisors and include a clawback provision, whereas Ordinary A shares do not. Republic Europe investors will be receiving Ordinary A shares.

Valuation (pre-money)

This is the fully-diluted pre-money valuation of the business (i.e. before the new investment comes in and including issued options and other equity interests). In contrast, the post-money valuation is based on inclusion of the new investment in the value.
