Material Debt
The Company has the following outstanding loans:
1. £50,000 director loan from a company director at 5% interest, repayable by 31 August 2025.
2. £67,000.00 Founder loan with no interest rate and no repayment date. This loan is to be repaid when the company is in a sufficient cash position to do so.
The funds raised as part of this round will not be used to repay these loans.
Share classes
The Company currently has three classes of shares: Ordinary Shares, Ordinary A Shares, and Ordinary E Shares.
All investors in this round, including Republic Europe investors, will receive Ordinary A Shares.
Holders of Ordinary Shares and Ordinary A Shares will receive voting rights and dividend rights. Holders of Ordinary E Shares will not have voting rights but will receive dividend rights.
On an exit and liquidation, holders of Ordinary A Shares shall receive a 1x non-participating preference, which has been drafted to be compatible with EIS relief.
This means that on a liquidation, return of capital, or exit, the proceeds will be distributed as follows:
(1) First, holders of Ordinary A Shares will receive a return equal to the higher of (i) 1x their initial investment back (or, if there are insufficient amounts to do so, an amount pro rata to their investment amount) or (ii) their share of the proceeds pro rata to the number of shares held.
(2) Second, Ordinary Shareholders and Ordinary E Shareholders will receive their share of the remaining proceeds pro rata to the number of shares held by them.
