Market Opportunity
Rosé has become one of the fastest-growing categories in global wine over the past two decades, driven by premiumisation, lifestyle appeal and changing consumer preferences. Today, rosé accounts for more than 10% of global wine consumption, with the UK now one of the world’s largest rosé import markets. Recent acquisitions of leading Provence rosé brands including Whispering Angel, Minuty and Mirabeau further underline the category’s growing strategic importance.
At the same time, English wine is experiencing rapid growth, with vineyard plantings increasing more than 500% since 2005 and domestic wine sales reaching record highs following the largest harvest on record in 2023. International producers including Taittinger and Freixenet have also invested into the English wine category in recent years.
Folc is building a modern British challenger brand at the intersection of premium still rosé and sparkling wine, categories long dominated by the established houses of Provence and Champagne. Unsurprisingly, that has already started to ruffle a few established feathers...
Folc operates a capital-light négociant model, partnering with leading growers and winemakers across multiple regions of England rather than owning vineyards and production facilities directly.
This approach allows the business to focus capital and resources on building the brand, while also diversifying agricultural and climate risk across multiple vineyard sites.

Use of Funds
We intend to use the investment to accelerate Folc’s next phase of growth across four key areas:
Brand & Customer Growth:
Continue scaling Folc’s direct-to-consumer channel through customer acquisition, content, partnerships and brand-building activity.
Hospitality, Retail & Distribution Expansion:
Expand national distribution across hospitality, wholesale and retail channels, while continuing to deepen relationships with key national accounts.
Inventory & Working Capital:
Support increased production volumes and inventory requirements as demand for both still and sparkling wines continues to grow.
Team & Operational Scale-Up:
Make targeted hires across sales, marketing and operations to support the next stage of the company’s growth.

Rights:
1. A and Vv shareholders have voting and discretionary dividend rights.
2. Vn shareholders have discretionary dividend rights but no voting rights.
On an exit or liquidation:
1. First, non-participating V shareholders receive a total of £1. A non-participating V share (Vv or Vn) is the share class that is "out of the money" because the exit price did not exceed the set Hurdle.
2. The remaining proceeds are distributed so that V shareholders receive their equity percentage minus their Hurdle amount, and A shareholders receive the remainder in proportion to their shareholding.
